1. Acceptance of Terms
By accessing or using Flow Ledger Pro (the “Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Flow Ledger Pro is a cloud-based double-entry Enterprise Resource Planning (ERP) platform designed for businesses operating in any country. The Service includes but is not limited to:
- Double-entry general ledger and accounting management
- Sales invoicing, purchase billing, and payment tracking
- Multi-business entity management under a single account
- Inventory management with stock tracking and alerts
- Automated tax computation including sales tax/GST, withholding tax, and excise duty
- Over 40 audit-ready financial reports
- Task and project management tools
- Interactive ledger sandbox for training and demonstration
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. User Accounts
- Registration: You must provide accurate, complete, and current information during registration and keep your account information up to date.
- Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
- Multiple users: Your subscription plan may allow multiple user seats. Each user must have their own credentials. You are responsible for all user activity within your organization.
- Age requirement: You must be at least 18 years of age to create an account and use the Service.
4. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation
- Engage in fraudulent accounting practices, falsify financial records, or manipulate tax computations
- Transmit malware, viruses, or any code of a destructive nature
- Attempt to gain unauthorized access to other user accounts, systems, or networks
- Use the Service to compete with or build a similar product or service
- Scrape, crawl, or use automated tools to extract data from the Service without written permission
- Resell, sublicense, or distribute the Service without explicit authorization
- Interfere with or disrupt the integrity or performance of the Service
5. Intellectual Property
All content, features, functionality, design, code, and documentation of the Service are owned by Flow Ledger Pro and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
- Your data: You retain full ownership of all business data, financial records, and content you enter into the Service. We claim no ownership over your data.
- Our platform: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your active subscription term.
- Feedback: If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use such feedback to improve the Service without obligation to you.
6. Payment & Subscription Terms
- Pricing: Subscription fees are displayed on our pricing page and are subject to change with 30 days' advance notice.
- Billing: Fees are charged in advance on a monthly or annual basis depending on your selected plan. All payments are non-refundable except as expressly stated in these Terms.
- Late payments: Overdue invoices may incur a late fee of 1.5% per month. We reserve the right to suspend access to the Service after 15 days of non-payment.
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial periods.
- Taxes: All fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other taxes imposed by your jurisdiction.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described therein. You are responsible for maintaining regular backups of your data. While we implement automated daily backups, we recommend exporting your financial records periodically.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
- In no event shall Flow Ledger Pro, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Our total aggregate liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Flow Ledger Pro and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10. Termination
We may suspend or terminate your access to the Service immediately, without prior notice, for conduct that we determine in our sole discretion violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
Upon termination, your right to use the Service ceases immediately. We will provide a 30-day data export window following termination, after which your data may be permanently deleted in accordance with our retention policies and applicable legal requirements.
11. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through:
- Informal resolution: Both parties will first attempt to resolve disputes informally via email for at least 30 days before initiating formal proceedings.
- Binding arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration administered in Austin, Texas, in accordance with applicable arbitration rules.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by posting a prominent notice on our website at least 15 days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms.
